1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (whether individually or on behalf of an enterprise entity, “Client” or “you”) and Mindfold (“Mindfold”, “we”, “us”), concerning your access to mindfold.dev and any software engineering, design, or AI development services commissioned from us.
By visiting our site or executing a Statement of Work, project proposal, or quote with Mindfold, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
2. Engineering Services & Scoping
Mindfold is a design and software engineering studio providing high-craft technology solutions, including but not limited to:

Fast, conversion-focused Next.js websites, dynamic web applications, interactive dashboards, and technical SEO architecture.
02Custom Software
Robust backend architectures, REST/GraphQL APIs, database schema design, third-party payment integrations, and cloud infrastructure.
03AI Integration
Production-grade RAG pipelines, autonomous copilot workflows, vector database indexing, and LLM evaluation benchmarks.
3. Engagement Models & SOWs
All client engagements are formally governed by an individual Statement of Work (“SOW”), digital proposal, or formal email agreement specifying:
- Project-Based Milestones: Scoped deliverables with defined timelines (Discovery → Architecture → Iterative Sprints → Launch & Handover).
- Hourly or Retainer Advisory: Continuous advisory, system maintenance, or fractional CTO support billed on hourly or day-rate increments.
Any feature requests or modifications that deviate materially from the agreed SOW will be documented and invoiced through a formal Change Order.
4. 100% Code Ownership & Intellectual Property
Mindfold builds bespoke software for clients without holding their code hostage:

Upon receipt of full and final payment for the project deliverables, Mindfold unconditionally assigns, transfers, and conveys all right, title, and interest in and to the custom software, frontend components, proprietary schemas, and documentation created specifically for the Client under the agreed SOW.
You own your code. We transfer complete repository access, deployment pipeline configurations, and environment secrets immediately upon final settlement.
Open-Source Components: Third-party libraries, frameworks (e.g., Next.js, React, Tailwind CSS), and open-source packages integrated into the solution remain governed by their respective licenses (e.g., MIT, Apache 2.0).
Portfolio & Attribution: Unless a formal NDA specifically restricts public attribution, Mindfold reserves the non-exclusive right to display screenshots, case studies, and summary metrics of the completed work in our online portfolio and marketing materials.
5. Client Obligations
Timely and high-quality software delivery requires active collaboration. The Client agrees to:
- Provide necessary specifications, branding assets, copy, and technical credentials in a timely manner.
- Designate a primary decision-maker to review sprint increments and approve milestones.
- Review deliverables and provide consolidated feedback within five (5) business days of milestone completion.
- Ensure that all materials, datasets, and intellectual property supplied to Mindfold do not infringe upon any third-party copyrights or patents.
6. Invoicing & Payment Terms
Deposit & Milestones: Unless otherwise specified in the SOW, project engagements require an initial deposit (typically 50%) prior to sprint kickoff, with subsequent milestone payments billed upon milestone completion or final production launch.
Due Date: Invoices are payable within seven (7) business days of issuance via direct electronic bank transfer (NEFT/RTGS/Wire), Razorpay, or Stripe.
Late Invoices: Overdue invoices past fifteen (15) days may cause project development or deployment handovers to be temporarily paused until the outstanding balance is satisfied.
7. Mutual Confidentiality (NDA)
Both parties agree to treat all non-public technical, financial, and strategic information disclosed during the partnership as strictly confidential. Mindfold will never share your source code, proprietary algorithms, database records, or unpublished business roadmaps with any unauthorized third parties.
8. 30-Day Warranty & Disclaimers
Mindfold provides a thirty (30) day warranty starting immediately upon production deployment or repository handover. During this window, Mindfold will fix any demonstrable bugs or deviations from the agreed SOW specifications free of charge.
The warranty does not cover defects introduced by third-party modifications, altered hosting infrastructure, or new feature requests outside the original scope.
Third-Party Dependencies: Mindfold builds on top of world-class infrastructure and APIs (e.g., OpenAI, Anthropic, AWS, Vercel, Supabase, Razorpay). We are not responsible for outages, deprecations, rate limits, or policy shifts originating directly from these third-party platforms.
Limitation of Liability: To the maximum extent permitted by applicable law, in no event shall Mindfold's cumulative liability arising out of or related to an engagement exceed the total fees paid by the Client under the applicable SOW.
9. Termination & Settlement
Either party may terminate a project engagement upon written notice (via email) if the other party breaches a material provision and fails to cure such breach within fourteen (14) days.
In the event of early termination, the Client shall pay Mindfold for all milestones completed and documented hours incurred up to the effective termination date. Upon payment, Mindfold will transfer all completed deliverables and code developed up to that date.
10. Governing Law & Jurisdiction
These Terms and any individual SOW entered into hereunder shall be governed by and construed in accordance with the laws of the Republic of India. Any legal dispute, controversy, or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts situated in Pune, Maharashtra, India.
